Terms & Conditions

Membership agreement

These Terms and Conditions ("Terms") govern access to and use of the website emmathinking.com, the Emma Thinking member platform, and all matchmaking, counselling and related services provided by Emma Thinking (Private) Limited ("the Company", "we", "us", "our").

By registering an account, purchasing a Package, or otherwise using the services, the member ("you") accepts these Terms and enters into a binding agreement with the Company. A person who does not accept these Terms must not register or use the services.

These Terms are to be read together with the Privacy Policy, the Community Guidelines, the Safety Policy, the Acceptable Use Policy, the Anti-Fraud & Anti-Scam Policy and the Refund & Cancellation Policy, each of which forms part of this agreement.

1. DEFINITIONS

1.1 "Interest" means an expression of interest sent by one member to another through the Platform.

1.2 "Introduction" means the provision to a member of a profile, or the facilitation of contact between members, by the Company.

1.3 "Package" means a membership product purchased from the Company, as described on the packages page of the website at the time of purchase.

1.4 "Platform" means the website emmathinking.com and the member area accessible through it.

1.5 "Validity Period" means the period specified at clause 9 during which a Package remains active.

1.6 "Verified" has the meaning given at clauses 5 and 6.

2. THE COMPANY

2.1 Emma Thinking (Private) Limited is incorporated in the Democratic Socialist Republic of Sri Lanka under the Companies Act No. 07 of 2007, registration number PV 00326395, with its registered office in Seeduwa, Negombo, Sri Lanka. The Company has operated as a professional matchmaking service since 2018.

2.2 Services to members resident outside Sri Lanka may be contracted through Emma Thinking LLC, a limited liability company organised under the laws of the State of Montana, United States of America. The receipt issued identifies the contracting entity.

2.3 The Company may be contacted at info@emmathinking.com or on 0117 822 228 (telephone and WhatsApp).

3. ELIGIBILITY

3.1 Membership is available only to natural persons who:

  • are eighteen (18) years of age or older;
  • are legally free to marry under the law applicable to them, being unmarried, widowed, or divorced pursuant to a final decree;
  • are seeking a serious relationship leading to marriage;
  • are able to produce a valid government-issued identity document;
  • have not previously been removed from the services by the Company; and
  • are not subject to any registration or order arising from a sexual offence.
3.2 Marital status. A person who is currently married, or who is separated without a final decree of divorce, is not eligible for membership in any circumstances. Registration while married constitutes a fundamental breach of these Terms and results in immediate termination without refund, the member forfeiting all remaining entitlements. The Company regards the presentation of a married person to members as available for marriage as a serious wrong to those members and to their families.

3.3 An account must belong to, and be operated by, the member personally. A parent, guardian or other family member may assist an adult with registration, but that adult must personally complete verification and personally consent to the registration. The Company does not permit a profile to be created or operated on behalf of another person.

4. REGISTRATION AND ACCOUNT SECURITY

4.1 Registration and the browsing of profiles are provided free of charge.

4.2 Access to the Platform is secured by a one-time code delivered to the member's registered WhatsApp number, or by Google Sign-In or Facebook Login where the member elects to use them.

4.3 The member is responsible for the confidentiality of their credentials and one-time codes. The Company will never request a member's one-time login code. Any person in possession of the registered number and the code is able to access that account in full.

4.4 The member must notify the Company immediately at info@emmathinking.com upon becoming aware of any unauthorised access.

4.5 A member may hold one account only. Duplicate accounts will be closed.

5. IDENTITY VERIFICATION

5.1 Before a profile is displayed to other members as Verified, the member must submit a valid National Identity Card, passport or driving licence, together with a photograph of their face.

5.2 The Company operates an automated facial comparison process which generates a facial template from the verification photograph and compares photographs subsequently uploaded against that template. This process is described in the Privacy Policy and the AI Disclosure, and is undertaken upon the member's explicit consent.

5.3 The identity document is thereafter reviewed manually by authorised staff against the details supplied.

5.4 The Company may decline to verify any registration at its discretion, and may require further documentation where the information supplied is incomplete or inconsistent.

5.5 A member's identity document, identity document number and facial template are never disclosed to any other member in any circumstance.

6. LIMITS OF VERIFICATION

6.1 The Verified status displayed on a profile confirms only that the Company has established that the member is a real individual, that the photographs displayed depict that individual, and that the name, date of birth and gender stated correspond to a government-issued identity document.

6.2 The Company does not verify, and Verified status does not represent, any of the following:
  • the member's employment, job title, employer or occupation, including any claim to hold a professional, managerial or governmental position;
  • the member's income, savings, property, vehicles or financial standing;
  • the agency, visa or route by which the member travelled abroad, or the work in fact performed overseas;
  • the member's education, qualifications or professional registration;
  • the member's health or medical history;
  • the member's criminal record, the Company conducting no criminal background checks of any kind; or
  • the member's character, honesty, intentions or suitability as a partner.

6.3 A person may be entirely genuine as to identity while being untruthful as to any other matter. Members are responsible for satisfying themselves as to any material representation made to them by another member before entering into any relationship, arrangement or commitment, and should not rely upon documents or photographs supplied by that person alone.

6.4 The Company accepts no liability in respect of any representation made by one member to another, save to the extent of the verification actually carried out under clause 5.

7. DESCRIPTION OF SERVICES

7.1 The Company provides, according to the Package purchased:

  • verification of member identity in accordance with clause 5;
  • access to a private platform on which to view profiles, send and receive Interests, and exchange messages;
  • Introductions, being profiles identified by automated criteria matching and, where the Package so provides, selected by a member of the Company's matchmaking team;
  • relationship counselling, where included or separately purchased;
  • Porondam horoscope compatibility analysis, where requested;
  • coordination of introductions, first meetings and family meetings, as specified in the Package.

7.2 The description of the Package published at the time of purchase, together with the receipt issued, records what is included and forms part of this agreement.

7.3 Matching is performed both by automated criteria applied by the Platform and, in respect of certain Packages, by the Company's matchmaking staff. Manual selection by staff does not apply to every member or to every Introduction.

8. NO GUARANTEE OF OUTCOME

8.1 The Company provides a professional service undertaken with reasonable care and skill. It does not, and cannot, guarantee that a member will marry, form a relationship, or find a suitable partner, whether within the Validity Period or at all.

8.2 The Company does not guarantee that any particular number of members will express interest in a member, respond to a member, or agree to meet a member.

8.3 The Company does not supervise communications, meetings or relationships between members once contact has been established, and is not present at any private meeting between members.

8.4 The sole exception to clause 8.1 is the Platinum guarantee at clause 13.3 and in the Refund & Cancellation Policy.

9. PACKAGES AND VALIDITY PERIODS

9.1 Each Package is valid for the period specified below, commencing when payment is approved and the membership becomes active.

PackageValidity PeriodRenewal
Mini Subscription1 monthA new purchase is required each month, see clause 11
Silver1 monthDoes not renew
Gold3 monthsDoes not renew
VIP4 monthsDoes not renew
Platinum6 monthsDoes not renew

9.2 All Packages, including the Mini Subscription, are one-time purchases. They do not renew automatically and no further sum will be charged without a fresh purchase by the member.

9.3 Entitlements unused at the expiry of the Validity Period lapse and are not carried forward, save where the Company has agreed in writing to suspend the Validity Period.

9.4 A member may request, once during a Package, that the Validity Period be suspended for up to three (3) months. The request must be made in writing before the Validity Period expires, and suspension is granted at the Company's discretion.

9.5 Membership is personal to the member and may not be sold, assigned or transferred.

10. INTERESTS, CONVERSATIONS AND ACCESS

10.1 Registration, verification, the browsing of profiles, the blocking of another member and the reporting of another member are available to all members free of charge and are not restricted by Package.

10.2 The sending of Interests and the commencement of conversations are governed as follows:

Member categoryEntitlement
Free member, femaleUnlimited Interests
Free member, maleUp to three (3) Interests per day
Package memberThe number of personally selected introductions stated in the Package. Each allowance unit includes one introduction and chat access with that person, including a person without a paid package. This allowance is separate from Interests.
Mini Subscription memberUnlimited Interests and messaging access on the Platform during the purchased month

10.3 A member's photographs are not visible to other members while browsing. Photographs become visible to a member only after the member concerned has accepted that person's Interest.

10.4 A member's full name is not displayed to other members. Initials only are shown.

10.5 Members may not send photographs or other images through Platform messages.

10.6 The Company may suspend or withdraw a member's ability to send Interests or messages where that member is the subject of a report under clause 24, or where the Company reasonably suspects a breach of these Terms.

11. MINI SUBSCRIPTION AND MANUAL RENEWAL

11.1 The Mini Subscription provides access for one month. It does not renew automatically. A fresh purchase is required for each further month, and no recurring charge is made.

11.2 To stop renewing, a member simply does not make another purchase. No cancellation of an automatic payment is required. Questions may be sent to info@emmathinking.com or 0117 822 228.

11.3 The member retains access for the balance of the purchased month. Access expires at the end of that period unless a new purchase is approved and activated.

11.4 Choosing not to renew does not of itself give rise to a refund of the month in progress. Refunds are governed by clause 13 and the Refund & Cancellation Policy.

11.5 The Company will give not less than fourteen (14) days' notice of any change to the Mini Subscription price. A price change does not affect the month already purchased; the revised price applies to a subsequent purchase.

12. FEES, PAYMENT AND TAXES

12.1 Prices are those published on the website, or quoted in writing by the Company, at the time of purchase. Members resident in Sri Lanka are quoted in Sri Lankan Rupees; members resident abroad are quoted in the applicable local currency.

12.2 Payment is required in full before services commence, save where an instalment arrangement has been agreed.

12.3 Payments are processed by Koko, Mintpay or the Bank of Ceylon payment gateway. Where a member pays by instalment through a third-party provider, the member's obligations to that provider are governed by their agreement with that provider and not by these Terms. Interest, handling charges and late fees imposed by such a provider are not recoverable from the Company.

12.4 The Company may alter its prices at any time. A change of price has no effect upon a Package already purchased.

12.5 Discounts and promotional prices are granted at the Company's discretion and may be withdrawn at any time.

12.6 Where taxes are applicable they are included in, or added to, the quoted price as indicated at the point of purchase.

12.7 Authorised payment channels. Payment must be made only through the channels shown on emmathinking.com at the point of purchase, or to a company bank account confirmed to the member in writing by the Company's office. Members must not transfer any sum to the personal account of any individual, including any member of the Company's staff. The Company will never request payment to a personal account. Any such request should be reported immediately to info@emmathinking.com.

13. REFUNDS AND CANCELLATION

13.1 Refunds are governed by the Refund & Cancellation Policy, which forms part of this agreement. The principal provisions are summarised below; that Policy prevails in the event of inconsistency.

13.2 A refund may be requested only after the Validity Period of the Package has ended. Requests made during the Validity Period will not be considered.

13.3 The Platinum guarantee. Where a member has purchased the Platinum Package and has received no Interest whatsoever during the six (6) month Validity Period, that member is entitled to a full refund of the sum paid, subject to the qualifying conditions set out in the Refund & Cancellation Policy. The guarantee applies to the Platinum Package only.

13.4 Packages other than Platinum carry no right of refund. The Company may, at its discretion and upon written request made after the Validity Period has ended, make a discretionary refund of:

  • eighty per cent (80%) of the sum paid, where the member received no element of the service whatsoever; or
  • fifty per cent (50%) of the sum paid, where the member received any element of the service, including any Introduction, counselling session, Porondam report or coordination service.

13.5 No refund is payable where membership is terminated by the Company for breach of these Terms or of any policy forming part of them. In such a case the member forfeits the whole of any sum paid and all remaining entitlements.

13.6 Nothing in this clause limits any right of the member under the Consumer Affairs Authority Act No. 9 of 2003 or any other applicable law.

14. MEMBER OBLIGATIONS

14.1 The member undertakes to:

  • provide information which is accurate, current and complete, including as to name, age, civil status, occupation, and whether the member has children;
  • use recent photographs which genuinely depict the member;
  • update the profile promptly upon any change of circumstances, including the commencement of a relationship or a marriage;
  • treat other members and the Company's staff with courtesy and respect;
  • keep confidential any personal information disclosed to them by another member, and refrain from publishing, forwarding or otherwise distributing it;
  • use the services solely for their own genuine search for a spouse; and
  • comply with the Community Guidelines, the Acceptable Use Policy, the Safety Policy and the Anti-Fraud & Anti-Scam Policy.

15. PROHIBITED CONDUCT

15.1 The member shall not:

  • misrepresent their identity, age, civil status, religion, occupation, employment, income, qualifications or any other material fact;
  • use photographs of another person, or photographs which do not depict the member;
  • register or remain registered while married, or while not legally free to marry;
  • promote any business, product, service, investment or other platform to members;
  • use the services for casual relationships, extramarital arrangements, or any sexual or commercial purpose;
  • send any message which is sexual, abusive, threatening, intimidating or harassing;
  • continue to contact a member who has declined, blocked, or ceased to respond to them;
  • attend the home or place of work of a member uninvited;
  • copy, photograph, download, publish or distribute another member's photographs, messages or personal details;
  • collect, extract or scrape member data by any means, automated or manual;
  • create more than one account, or register again following removal;
  • attempt to obtain unauthorised access to the Company's systems, or interfere with their operation, contrary to the Computer Crime Act No. 24 of 2007; or
  • use the services for any purpose unlawful in Sri Lanka or in the member's country of residence.

16. FINANCIAL REQUESTS

16.1 A member shall not, in any circumstances, request or induce another member to:
  • sign, execute or act as guarantor or surety in respect of any loan, lease, hire purchase agreement, guarantee, mortgage, promissory note or other financial or legal instrument; or
  • lend, gift, transfer, invest or otherwise provide money or anything of value.
16.2 This prohibition applies irrespective of the reason advanced, the duration of the acquaintance, the relationship said to exist between the parties, or the consent of the person asked.

16.3 A breach of clause 16.1 constitutes a fundamental breach of these Terms. The Company will terminate the membership permanently and without refund, and will report the matter to Sri Lanka Police where it considers it appropriate to do so.

16.4 Members are advised that a request of the kind described at clause 16.1 is, without exception, a warning of fraud or coercion, and should be refused and reported to the Company immediately. The Anti-Fraud & Anti-Scam Policy addresses this in full.

17. INTIMATE IMAGES

17.1 A member shall not request, solicit, send, or induce another member to send any nude, sexual or otherwise intimate photograph or recording.

17.2 A member shall not retain, distribute, publish, or threaten to distribute or publish any intimate image or recording of another member, whether obtained through the services or otherwise.

17.3 A breach of this clause constitutes a fundamental breach and results in permanent termination without refund. The Company will report such conduct to Sri Lanka Police. Such conduct may constitute an offence under the Obscene Publications Ordinance, the Penal Code, the Computer Crime Act No. 24 of 2007 and the Online Safety Act No. 9 of 2024.

17.4 Photographs uploaded to the Platform are subject to automated screening, and images identified as nude, sexual or otherwise inappropriate are removed automatically.

18. CONDUCT AWAY FROM THE PLATFORM

18.1 These Terms, the Community Guidelines and the Safety Policy apply to a member's conduct wherever it occurs, provided the contact between the members concerned began through the services. This includes conduct:

  • in messages, calls or communications on WhatsApp or any other channel;
  • at any meeting arranged through, or arising from, the services;
  • at any subsequent meeting between the members concerned; and
  • in any communication with a member's family or employer.

18.2 A member may not avoid the operation of these Terms by moving a conversation away from the Platform.

19. MEMBER SAFETY

19.1 The Company verifies identity. It does not and cannot vouch for the character or intentions of any member.

19.2 Members are required to read the Safety Policy, and in particular should:

  • meet in a public place for the first several meetings, and never at a private residence, hotel room or unfamiliar location;
  • inform a family member or friend of the time, place and person concerned;
  • arrange their own transport to and from any meeting;
  • decline any request to sign a financial document, to provide money, or to send intimate images;
  • refrain from disclosing identity document details, bank details or workplace address; and
  • report any conduct causing concern to the Company immediately.

19.3 Communications, meetings and relationships between members are undertaken at the members' own risk. The Company is not a party to them.

20. MEMBER CONTENT AND LICENCE

20.1 The member retains ownership of the photographs and information comprising their profile.

20.2 The member grants the Company a limited, non-exclusive, royalty-free licence to store that material and to display it to other members in the manner described in the Privacy Policy, for the duration of the account and the retention periods stated in that policy.

20.3 The Company will not use a member's photograph, name or personal circumstances in any advertising or marketing material without the member's separate written consent, which may be withdrawn at any time.

20.4 The Company may remove any content which breaches these Terms or any policy forming part of them.

21. COMPANY INTELLECTUAL PROPERTY

21.1 The name Emma Thinking, the Emma Thinking logo, the expression "A World Beyond Matrimony", the design and content of the website and Platform, and the Company's written materials and processes are the property of the Company and are protected under the Intellectual Property Act No. 36 of 2003.

21.2 No person may copy, reproduce, adapt or use any of the foregoing without the prior written consent of the Company.

21.3 No person may reproduce, extract or republish the Company's website content or member database, in whole or in part. The Intellectual Property Policy sets out the detail and the procedure for infringement claims.

22. MODERATION, SUSPENSION AND TERMINATION

22.1 Termination by the member

22.1.1 A member may close their account at any time by written notice to info@emmathinking.com or through the Data Deletion page. Any refund is governed by clause 13.

22.2 Suspension and termination by the Company

22.2.1 The Company may suspend or terminate a membership, with or without prior notice according to the seriousness of the matter, where:

  • the member has breached these Terms or any policy forming part of them;
  • the Company reasonably believes information supplied by the member to be false;
  • the member is the subject of a report which, in the Company's reasonable view, discloses a risk to another person; or
  • the Company is required to do so by law.

22.2.2 Where a report alleges sexual assault, threats of violence, conduct involving intimate images, a request falling within clause 16, or any matter involving a person under eighteen, the Company will suspend the member's access immediately and without prior notice pending investigation.

22.2.3 Where termination is for a fundamental breach, including fraud, false identity, harassment, conduct within clauses 16 or 17, or registration while married, no refund is payable and the member may not register again.

22.2.4 In cases of lesser seriousness the Company will ordinarily issue a warning and afford the member an opportunity to remedy the matter.

23. APPEALS

23.1 A member may appeal against a warning, suspension or termination by written notice to info@emmathinking.com within fourteen (14) days of notification, setting out the grounds of appeal.

23.2 The appeal will be considered by a manager who was not party to the original decision, and a response given within ten (10) working days.

23.3 The Company will not disclose the identity of any person who has made a report.

24. REPORTS, RECORDS AND COOPERATION WITH AUTHORITIES

24.1 The Company accepts reports concerning the conduct of a member from any person, whether or not that person is or has been a member of Emma Thinking.

24.2 Reports may be made through the Platform, at info@emmathinking.com, or on 0117 822 228. Every report is acknowledged within twenty-four (24) hours. Reports falling within clause 22.2.2 are acted upon within one (1) hour.

24.3 The identity of a person making a report is not disclosed to the member reported.

24.4 Preservation of records. Where a report, complaint, investigation or legal claim concerns an account, the Company will preserve all records relating to that account, including the profile, photographs, identity document, messages, call recordings, payment records and internal notes, notwithstanding any request by the member to delete the account or the associated data.

Such records are retained for the purposes of the investigation and of any resulting legal or criminal proceedings, and are deleted upon conclusion of the matter and expiry of the retention period stated in the Privacy Policy. This clause operates as an exception to the right of erasure and is permitted under the Personal Data Protection Act No. 9 of 2022 where processing is necessary for the establishment, exercise or defence of legal claims, for compliance with a legal obligation, or to protect the vital interests of a person.

24.5 The Company cooperates fully with Sri Lanka Police and, where lawfully required or where necessary to investigate a crime or prevent serious harm, will disclose the records it holds, including identity documents, messages, call recordings and payment records.

25. LIMITATION OF LIABILITY

25.1 The Company provides the services with reasonable care and skill. Subject to clause 25.4, and to the fullest extent permitted by law:

  • the Company is not liable for the conduct of any member, whether occurring on the Platform, in any other communication, at any meeting, or after contact has passed away from the services;
  • the Company is not liable for the accuracy of any representation made by a member concerning themselves, beyond the verification actually carried out under clause 5 and subject to the limits at clause 6;
  • the Company is not liable for any loss arising from a relationship formed, or not formed, through the services, including emotional distress, loss of opportunity, or financial loss however arising;
  • the Company is not liable for any loss arising from a financial instrument executed by a member, including any loan, lease or guarantee, whether or not the other party was introduced through the services; and
  • the Company is not liable for indirect, consequential or special loss of any kind.

25.2 The total aggregate liability of the Company to a member, in respect of all claims arising out of or in connection with the membership, shall not exceed the sum actually paid by that member to the Company in the twelve (12) months preceding the event giving rise to the claim.

25.3 The Company does not warrant that the Platform will be available without interruption or free from error.

25.4 Nothing in these Terms excludes or limits the liability of the Company for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited, including under the Consumer Affairs Authority Act No. 9 of 2003.

26. INDEMNITY

26.1 The member shall indemnify and keep indemnified the Company against all claims, losses, damages, costs and expenses arising from any breach by the member of these Terms, from information supplied by the member which was false or misleading, or from the member's conduct toward any other member or any third party.

27. EVENTS BEYOND OUR CONTROL

27.1 The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disaster, epidemic, civil disturbance, failure of telecommunications or internet infrastructure, power failure, or act of government. Where such circumstances persist for more than thirty (30) days, either party may terminate and the Company shall refund the unused proportion of the Package.

28. COMPLAINTS, DISPUTES AND GOVERNING LAW

28.1 A member with a complaint should raise it first with their matchmaker, and thereafter at info@emmathinking.com. The Complaints & Grievance Procedure sets out the process and applicable time limits.

28.2 The parties shall use reasonable endeavours to resolve any dispute in good faith before commencing proceedings.

28.3 These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

28.4 The parties submit to the exclusive jurisdiction of the courts of Sri Lanka.

28.5 Nothing in this clause deprives a member resident outside Sri Lanka of the benefit of any mandatory consumer protection provision available in their country of residence.

28.6 A member resident in Sri Lanka retains the right to refer a matter to the Consumer Affairs Authority established under the Consumer Affairs Authority Act No. 9 of 2003.

29. AMENDMENT OF THESE TERMS

29.1 The Company may amend these Terms. Material amendments will be notified to active members by email or WhatsApp not less than fourteen (14) days before they take effect.

29.2 Continued use of the services after that date constitutes acceptance of the amended Terms. A member who does not accept them may close their account, in which case the Company will refund the unused proportion of the Package.

30. GENERAL PROVISIONS

30.1 Entire agreement. These Terms, together with the Privacy Policy, the Community Guidelines, the Safety Policy, the Acceptable Use Policy, the Anti-Fraud & Anti-Scam Policy, the Refund & Cancellation Policy and the Package description, constitute the entire agreement between the parties.

30.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

30.3 No waiver. Failure or delay by the Company in enforcing any provision does not constitute a waiver of it.

30.4 Assignment. The member may not assign or transfer their membership. The Company may assign its rights and obligations to a successor business without diminution of the member's rights.

30.5 Third parties. No person other than the member and the Company has any right to enforce these Terms.

30.8 Survival. Clauses 20, 21, 24, 25, 26, 28 and 30 survive termination of membership.
